Head-in, hands-out: what a good non-executive director actually brings to your board

Is hiring an independent non-executive director (NED) next on your list of things to do as a founder? Here's what you should know before hiring.

Is hiring an independent non-executive director (NED) next on your list of things to do as a founder? Either because your investors have asked, or because you’ve been advised it’s the right thing to do?

Initially, you might be thinking "we're not there yet." Too early. Too small. Investors already sit on the board, isn't that enough?

However, there is a different way to think about this. Where an investor board member is backing your company, an independent non-exec is backing you, and a well-appointed one is genuinely transformative to a founder-led business.

The role of the NED

If you're a founder hiring your first independent board member, the dynamic is different from a plc board.

Good NEDs bring pattern recognition. They've seen the mistakes, because they made them, or watched someone else make them. They're not there to run your company, they're "head-in, hands-out", close enough to challenge your thinking, far enough to let you make the call.

The best ones become something most founders don't expect going in - a mentor, a champion, and a critical friend. Their independent status brings balance to the boardroom.

Impact in the results

Take the founder-led, mission-driven business we recently worked with, building a tech business to improve accessibility for millions of people. Strong product, first-time CEO, and a board that needed someone who'd drive the company from PMF to global SaaS scale.

We found them a Chair, a former founder with real US expansion and fundraising experience. Someone who'd built a business first-hand, not just advised on one.

Or, the Series C European SaaS unicorn that needed a Non-Executive Director to Chair the Audit Committee, someone who could bring real governance rigour as the company moved toward IPO. This is where our team came in, helping to place the former CFO of Salesforce.

We've also placed NEDs into B Corp fintech businesses backed by VCs whose investors wanted stronger governance, and in industrial tech, where the same story played out. Different sectors, same pattern - investors pushing, founders realising the board needed a perspective they didn't have in the room.

What good sounds like

One NED in our network put it simply,

“Independent NEDs are not just advisors. They help founders become accountable leaders, provide strategic oversight, bring invaluable networks, and ensure the board is focused on long-term success rather than short-term outcomes. Their involvement can, particularly in early and growth stages, significantly impact a company’s trajectory.”

The practical piece

Your first NED won't show up for the board meeting and disappear until the next one. Expect their time outside of the boardroom, particularly early on. Remuneration is usually a fixed annual fee plus equity.
